Many problems can be avoided or at least kept manageable if addressed promptly. An early commercial solution saves the management time and energy. Even where disputes and proceedings cannot be avoided, sound early advice improves the chances for a favourable outcome and avoids mis-steps that often come back and haunt a client. In enforcement and regulatory matters, early investigations and advice are crucial.
We are able to advise on the conducting of compliance checks, reviewing of policies, investigations and inquiries, ‘crisis management’, and negotiations to resolve disputes.
Our Representative Experience
Internal investigations and "Dawn Raids"
- Advised various multi-national enterprises in matters relating to employee misconduct that exposes the employer to liability.
- Conducting internal investigations, often leading to litigation, in relation to protection of trade secrets and confidential information and breaches of duties of fidelity and non-compete clauses.
- Advising multi-national on compliance matters, in particular relating to cross border investigations.
- Advising on actions to be taken and not to be taken when confronted with “dawn raids” and investigations and civil search orders.
Negotiations and Settlements
- Acted in negotiated settlements involving a very large commercial dispute, and putting in place a practical solution that would not have been available through the courts.
- Advising upon and closing negotiations on acquisitions, both as counsel and as chairman of a mainboard listed company.
Regulatory and Enforcement
- Acted as counsel before the Security Industries Council for a law firm in breach of the listing rules.
- Advising on compliance with licensing provisions of the Securities and Futures Act.
